1. Agreement and Scope
These Terms of Use (the 'Terms') form a binding agreement between you and ActumAutoma Private Limited regarding your access to and use of VYAAS and related websites, desktop applications, browser based interfaces, extensions, APIs if any, support channels, beta features, and other services we make available from time to time (collectively, the 'Services').
By creating an account, clicking to accept these Terms, or using the Services, you agree to be bound by these Terms and by any additional policies that are incorporated by reference, including our Privacy Policy, Refund & Credits Policy, Acceptable Use Policy, Cookie Policy, and AI Safety & Transparency Policy, as updated from time to time.
If you do not agree, do not access or use the Services.
2. About VYAAS
VYAAS is a consumer-focused AI automation platform that helps users interpret interfaces, plan actions, and execute workflows across websites and desktop applications. The Services are currently offered for individual consumer use. We do not offer business or enterprise accounts unless we expressly agree otherwise in writing.
VYAAS is a tool. It does not independently choose your goals, policies, business rules, or legal obligations. You are responsible for the instructions you provide, the contexts in which you use the Services, and the consequences of any action you request or authorize.
3. Eligibility and Account Registration
To use the Services, you must be able to form a binding contract under the laws that apply to you, and you must not be barred from using the Services under applicable law.
Accounts are created through supported identity providers such as Google and Microsoft. When you sign in through a third-party identity provider, you authorize us to receive the account information and profile data that the provider makes available to us under your chosen permissions and the provider's own terms.
You agree to provide accurate, current, and complete information and to keep it updated.
You may not create or use multiple accounts to evade limits, obtain multiple promotions, bypass restrictions, or misrepresent your identity.
You may not share, rent, sell, transfer, or otherwise allow another person to use your account unless we explicitly permit it in writing.
4. The Services, Beta Features, and Changes
The Services are provided through the current product architecture, which may include cloud-based AI processing, local execution on your device, and a mix of both. Our long-term roadmap may move more processing onto user devices, but unless we expressly state otherwise, cloud processing is part of the Services today.
We may offer beta, preview, experimental, or early-access features. Beta features may be incomplete, unstable, inaccurate, or changed, suspended, or removed at any time without notice.
We may modify, discontinue, restrict, or update the Services, any feature, or any supported integration at any time, with or without notice, to the extent permitted by law.
We do not guarantee that the Services will be available continuously, that they will be error-free, or that they will work with every website, desktop application, operating system, browser, device, or third-party service.
5. Credits, Pricing, Taxes, and Payments
The Services use prepaid credits or tokens. We do not currently offer monthly subscriptions for standard consumer access.
Credits are tied permanently to the account that purchased them and may not be transferred, assigned, pooled, gifted, resold, or redeemed for cash unless we expressly allow it in writing.
Purchased credits do not expire unless required by law or unless a specific promotional offer says otherwise in writing.
Promotional or free credits may expire and are never refundable.
Prices may change at any time for future purchases, without a duty to provide prior notice, except where applicable law requires notice or consent.
All amounts displayed for India are payable in Indian Rupees (INR). Amounts displayed for users outside India may be payable in United States Dollars (USD) or another currency we choose to display. Applicable taxes, including GST or similar taxes, may be included in the displayed price or added where required by law and payment processing settings.
Payments may be processed through third-party payment providers such as Razorpay and PayPal. We may require you to complete security-sensitive actions, including payments, manually or directly through your own device and account confirmation to reduce fraud and privacy risk.
6. Credits Delivery, Failed Payments, Chargebacks, and Refund References
If a payment is successfully processed but credits are not immediately delivered, we may take a reasonable period to investigate and correct the issue.
We may suspend, limit, or terminate accounts involved in chargebacks, payment disputes, fraud, or suspected abuse.
You may not reverse, claw back, or dispute a legitimate charge after receiving credits except in cases permitted by law or expressly approved by us.
Refund eligibility is governed by our Refund & Credits Policy, which is incorporated into these Terms.
7. User Content, Workflows, and Intellectual Property
As between you and us, you retain rights in the content, prompts, files, documents, data, and other material you upload, submit, direct, or provide to the Services, to the extent you have those rights under applicable law.
You also retain rights in the original logic or business process you express through your workflow, subject to any rights of third parties and subject to the licenses you grant under these Terms.
To operate, store, execute, secure, analyze, debug, and improve the Services, you grant ActumAutoma Private Limited a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, process, reproduce, display, adapt, modify, create derivative works from, and otherwise use your content, workflow instructions, execution data, and related metadata solely for the purposes of providing, protecting, supporting, and improving the Services and our models and systems, subject to the Privacy Policy and applicable law.
ActumAutoma Private Limited and its licensors own the Services, including the software, models, interfaces, workflows of the platform itself, documentation, logos, trademarks, trade dress, compiled outputs of system components, improvement layers, orchestration systems, recovery systems, safety systems, and all other intellectual property not expressly granted to you.
If you send us feedback, suggestions, bug reports, or ideas, you give us a perpetual, worldwide, irrevocable, royalty-free license to use them for any business purpose without compensation or attribution, unless we agree otherwise in writing.
You may not use our name, logos, or trademarks without prior written permission, except as allowed by law or by separate brand guidelines we publish.
8. AI Output, Human Review, and High-Stakes Uses
Outputs generated by the Services may be incorrect, incomplete, misleading, outdated, biased, or inappropriate. You must independently verify outputs before relying on them.
VYAAS does not provide legal, medical, financial, tax, investment, or other professional advice. Any output that appears to address those subjects is for informational purposes only.
You are solely responsible for decisions you make based on the Services and for any action you instruct the Services to take.
For sensitive or irreversible actions, including payments, banking, identity verification, legal acknowledgements, or similar actions, VYAAS may require direct human confirmation from you before completing the action.
You may not use the Services for high-risk uses where a mistake could reasonably lead to serious harm, including in medical diagnosis, emergency response, safety-critical systems, or other restricted contexts.
9. Acceptable Use and Prohibited Conduct
You must use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and third-party terms that apply to your use case.
You may not use the Services to engage in or facilitate fraud, impersonation, phishing, credential theft, malware distribution, spam, abuse, harassment, surveillance, unauthorized access, evasion of security controls, money laundering, terrorism, child exploitation, copyright infringement, defamation, or any other unlawful or harmful conduct.
You may not attempt to reverse engineer, decompile, scrape, probe, bypass, disrupt, overwhelm, or interfere with the Services or any related systems, nor may you use the Services to build a competing service from our confidential or protected systems or interfaces.
You may not use automated scripts, bots, or other means to evade usage limits, token accounting, security measures, rate limits, or account restrictions.
You are responsible for obtaining all rights, permissions, consents, and authorizations required for the content and accounts you connect to VYAAS.
10. Third-Party Services and Integrations
The Services may interoperate with third-party websites, apps, browser services, cloud services, email providers, payment processors, and AI providers. Those third parties are governed by their own terms and policies.
If you choose to connect third-party services, you authorize us to access, process, and transmit the information necessary to provide the requested functionality, subject to your permissions and applicable law.
We are not responsible for the acts or omissions of third parties, their outages, changes, restrictions, policies, or data handling practices.
11. Suspension and Termination
We may suspend, limit, or terminate your access to the Services immediately or on notice if we reasonably believe that you violated these Terms, created security or legal risk, engaged in abuse, failed to pay amounts due, or used the Services in a way that creates harm to us, our users, or third parties.
We may also suspend or terminate access where required by law or to protect the integrity, security, or availability of the Services.
Upon termination, your right to use the Services ends immediately. Clauses that by their nature should survive termination will survive.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, CONTINUOUS AVAILABILITY, AND ERROR-FREE OPERATION.
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT AUTOMATIONS WILL ALWAYS SUCCEED, THAT THIRD-PARTY SITES WILL REMAIN COMPATIBLE, OR THAT OUTPUTS WILL BE CORRECT OR COMPLETE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO US IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you to the extent prohibited by law.
14. Indemnification
You will defend, indemnify, and hold harmless the Company and its affiliates from and against any claims, damages, losses, liabilities, judgments, settlements, costs, and expenses arising out of or related to your use of the Services, your content, your violation of these Terms, your violation of law, your infringement of third-party rights, or your misuse of the Services or any third-party service you connect to the Services.
15. Force Majeure
We will not be liable for any delay or failure caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, cloud provider outages, payment processor outages, power failures, cyberattacks, government action, or other similar events.
16. Governing Law, Arbitration, and Courts
These Terms are governed by the laws of India, without regard to conflict-of-laws principles.
If a dispute arises, the parties will first try in good faith to resolve it informally within thirty (30) days after written notice of the dispute.
If the dispute is not resolved informally, it will be finally resolved by binding arbitration seated in Delhi, India, under the Arbitration and Conciliation Act, 1996. The arbitration will be conducted by a sole arbitrator appointed in accordance with the applicable law. The language of the arbitration will be English.
The courts located in Delhi, India will have exclusive jurisdiction for any matter relating to interim relief, enforcement of arbitration awards, or any issue that cannot lawfully be resolved by arbitration.
17. Miscellaneous
We may update these Terms at any time by posting a revised version, and your continued use of the Services after the effective date of the updated Terms constitutes acceptance to the extent permitted by law.
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or by operation of law.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
No waiver of any term will be effective unless in writing. A delay or failure to enforce any right is not a waiver.
These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and us concerning the Services and supersede prior understandings on the same subject matter.
